1. Acceptance of Terms

By accessing or using the CRITI RORA website (the "Website"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not access or use the Website.

These Terms constitute a legally binding agreement between you and CRITI RORA.



2. User Responsibilities

By using this Website, you agree that:

  • You are at least eighteen (18) years of age or are using the Website with the consent and supervision of a parent or legal guardian. 
  • All information you provide, including account registration details and order information, is true, accurate, current, and complete. 
  • You will not use the Website for any unlawful, fraudulent, or unauthorized purpose. 
  • You will not copy, reproduce, distribute, modify, publish, transmit, or otherwise exploit any content on the Website without our prior written permission. 



3. Product Information and Disclosures

We strive to ensure that all product information displayed on the Website is accurate and up to date. However, certain information is subject to the following conditions:

  • All laboratory-created diamonds are clearly identified as "Lab-Grown Diamonds" and are not natural diamonds.
  • The purity of precious metals is determined by the official hallmark stamped on each jewelry piece (such as Au750 or 925 Sterling Silver). 
  • Diamond grading reports are issued by independent third-party gemological laboratories, including IGI and GIA. CRITI RORA shall not be liable for any disputes regarding grading results beyond exercising reasonable care in selecting reputable grading laboratories. 
  • Product photographs are intended to accurately represent each item. However, actual colors may vary slightly due to differences in monitor settings, screen resolutions, and lighting conditions. 

 


4. Orders and Payment

  • All prices displayed at checkout constitute the final purchase price applicable to your order. 
  • Prices may or may not include applicable taxes, duties, or import charges depending on your shipping destination. 
  • Custom Orders cannot be canceled once production has commenced. 
  • We reserve the right to refuse or cancel any order due to pricing errors, inventory shortages, suspected fraud, or other legitimate business reasons. If payment has already been received, a full refund will be issued using the original payment method. 



5. Intellectual Property

Unless otherwise stated, all intellectual property rights relating to the Website and its contents belong exclusively to CRITI RORA.

This includes, but is not limited to:

  • The CRITI RORA name, trademarks, logos, graphics, product designs, photographs, videos, text, and website content. 
  • All copyrights, trademarks, trade dress, trade secrets, and other proprietary rights. 

You may not use, reproduce, distribute, display, or exploit any CRITI RORA intellectual property without our prior written consent.



6. Disclaimer of Warranties

The Website and all products and services are provided on an "AS IS" and "AS AVAILABLE" basis to the fullest extent permitted by applicable law.

CRITI RORA expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability; 
  • Fitness for a particular purpose; 
  • Non-infringement; 
  • Accuracy, reliability, or uninterrupted availability of the Website. 

To the maximum extent permitted by law:

  • CRITI RORA shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or relating to the use of the Website or our products. 
  • Statements regarding laboratory-grown diamonds and precious metal purity are based on recognized industry standards and independent third-party certifications. CRITI RORA shall not be responsible for disputes regarding grading opinions issued by independent laboratories. 



7. Indemnification

You agree to defend, indemnify, and hold harmless CRITI RORA, its affiliates, directors, officers, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising out of or related to:

  • Your violation of these Terms; 
  • Your misuse of the Website; 
  • Your violation of any applicable law; 
  • Your infringement of any intellectual property rights or other rights of any third party. 



8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms shall first be resolved through good-faith negotiations.

If the parties are unable to reach a resolution, the dispute shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with the HKIAC Administered Arbitration Rules then in effect.

  • Seat of Arbitration: Hong Kong
  • Language of Arbitration: English

The arbitral award shall be final and binding upon both parties.



9. Changes to These Terms

CRITI RORA reserves the right to modify or update these Terms at any time.

Any revised Terms shall become effective immediately upon publication on the Website unless otherwise stated.

Your continued use of the Website following any changes constitutes your acceptance of the revised Terms.
